1. Acceptance of Terms & Closed Beta Notice

Welcome to Cointribute("Cointribute", "we", "us", or "the Platform"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Creator", "Supporter", or "you") and Cointribute regarding your access to and use of our web application, streaming integration software, donation tooling, widget overlays, and associated monetization services (collectively, the "Services").

By accessing, browsing, registering on, or interacting with Cointribute, you explicitly confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use or access the Platform.

2. Nature of the Platform & Services

Cointribute provides software tools designed for digital content creators, livestreamers, and their audiences. Our platform enables:

• Direct and platform-assisted voluntary gratuities ("Tips" / "Donations") from supporters to creators.
• Tiered recurring creator memberships with associated digital community perks.
• Real-time broadcasting overlays (OBS alert animations, Text-To-Speech audio, donation goals, wheel spins, chat polls).
• Unified multi-platform live chat aggregation (MonoChat) across YouTube, Twitch, Kick, and platform chat.

Cointribute is a software platform, not a bank, non-banking financial company (NBFC), or money transmitter. All payment processing is conducted through licensed, Reserve Bank of India (RBI) authorized third-party payment aggregators and payment gateways (including Razorpay Software Private Limited and Cashfree Payments India Private Limited).

3. Eligibility & User Accounts

To access and use Cointribute, you represent and warrant that:

• You are at least 18 years of age, or have reached the age of majority in your jurisdiction. If you are between 13 and 18 years of age, you may only use the Services under the direct supervision and with the express consent of a parent or legal guardian who agrees to be bound by these Terms.
• All information provided during registration (including Google OAuth data, email address, payment details, and creator profile metadata) is accurate, current, and complete.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Creator Terms, Verification & Payouts

Creators monetize their broadcasts through one of two distinct operational flows:

Tax Obligations: Creators are solely responsible for declaring, filing, and paying all applicable local, state, and central taxes (including Income Tax and Goods and Services Tax / GST) arising from tips, donations, and membership revenues.

5. Supporter Terms, Tips & Memberships

When sending a tip or subscribing to a creator membership on Cointribute:

• Voluntary Gratuity: You acknowledge that tips and donations are voluntary, non-commercial tokens of appreciation for the creator's artistic, gaming, or entertainment broadcast. They do not represent an investment, equity, debt instrument, charitable donation tax deduction, or commercial purchase of tangible goods.
• Membership Subscriptions: Memberships are recurring payment commitments billed on a periodic basis (e.g., Monthly, Half-Yearly, or Yearly). By subscribing, you authorize automatic recurring charges to your chosen payment method until you cancel via your Supporter Dashboard.
• Mandatory Sign-In for Memberships: To ensure accurate attribution of recurring badges, chat highlights, and custom perks, you must be signed in with an authenticated Cointribute account to purchase or maintain an active membership.
• Cancellation: You may cancel an active membership subscription at any time. Your benefits will remain active until the conclusion of the prepaid billing cycle ("Current Period End"), after which the subscription will not renew.

6. Strict No-Refund Policy & Chargebacks

Chargebacks & Fraudulent Disputes: Initiating fraudulent chargebacks, friendly fraud disputes, or unauthorized payment claims with your bank or card issuer is a material violation of these Terms. Cointribute reserves the right to immediately terminate the offending user account, revoke all perks, blacklist payment instruments, and report fraudulent activity to payment networks and law enforcement authorities.

7. Digital Perks & Interactive Features

Digital perks (including OBS alerts, sound effects, Text-To-Speech messages, spin wheels, and emotes) are intangible, non-transferable, revocable entertainment privileges.

• Content Moderation: Creators and their designated moderators reserve the absolute right to skip, mute, moderate, or discard any donation message or TTS audio that violates community standards without any obligation of refund.
• No Guarantee of On-Stream Visibility: While Cointribute strives for 100% overlay reliability, we cannot guarantee that an alert or TTS will be rendered on a creator's stream in the event of broadcaster OBS disconnection, local hardware failures, or streaming platform downtime.

8. Third-Party Integrations & Gateways

Our Services integrate with third-party platforms, including:

• Payment Gateways: Razorpay and Cashfree. Payments are subject to their respective terms of service and privacy policies.
• Streaming Platforms: YouTube (Google LLC), Twitch (Twitch Interactive, Inc.), Kick (Kick Gaming). Your use of features like MonoChat is subject to the terms and community guidelines of the respective platform.
• Music Providers: Spotify AB for live song request queues.

Cointribute is an independent software application and is not affiliated with, endorsed by, or sponsored by YouTube, Twitch, Kick, Spotify, or Razorpay.

9. Prohibited Conduct & Content

You agree not to use Cointribute to engage in, facilitate, or promote:

• Money laundering, terrorist financing, illicit gambling, pyramid schemes, or illegal financial transactions.
• Hate speech, harassment, defamation, threats, doxxing, or non-consensual sexual content in donation messages or TTS audio.
• Unauthorized use of stolen payment cards, bank accounts, or identity theft.
• Circumvention of platform security, automated scraping, reverse engineering, or Denial of Service (DoS) attacks against our infrastructure.

10. Intellectual Property & License

The Cointribute name, logo, software code, UI designs, widget templates, and graphics are the exclusive intellectual property of Cointribute. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. Creators retain all ownership rights to their broadcast content, logos, and branding uploaded to the Platform.

11. Beta Disclaimer & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COINTRIBUTE AND ITS FOUNDERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Under no circumstances shall Cointribute be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, streaming revenue, data, goodwill, or business interruption arising from your use of the Services or participation in the Closed Beta program. In no event shall our total aggregate liability exceed the total platform fees retained by Cointribute from your account in the preceding three (3) months or ₹1,000 INR, whichever is lower.

12. Indemnification

You agree to defend, indemnify, and hold harmless Cointribute, its affiliates, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from: (a) your use of or inability to use the Services; (b) your violation of these Terms; (c) any content or broadcasts you produce; or (d) any tax or payment disputes with your supporters or payment providers.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
